Everything Kenyans Should Know About Dangote IPO

The initial public offering (IPO) of the Dangote Petroleum Refinery and Petrochemicals has attracted significant investor interest across Africa, including in Kenya.

The offer officially opened on September 14, 2026, and will close on October 13, 2026, giving investors a one-month window to participate in one of the largest public share offers on the continent in recent years.

The IPO comes as Dangote seeks to broaden ownership of Africa's largest oil refinery while raising fresh capital to support its expansion plans across the continent.

Through the IPO, the company is offering 4.1 billion ordinary shares to investors. The company aims to raise approximately Ksh207 billion through the public offer.

Each share is being sold at roughly Ksh51.37 (525 Nigerian Naira) before applicable exchange rates, transaction fees and other charges.

The minimum investment requirement is 10 shares, meaning an investor would need approximately Ksh514 before fees and currency conversion costs.

Why is Dangote Conducting the IPO?

According to the company, the IPO is intended to raise additional capital to support expansion initiatives across Africa.

The refinery has emerged as one of the continent's most significant energy projects and is expected to play a major role in reducing Africa's dependence on imported petroleum products.

In Kenya, Dangote Refinery has already announced plans to develop a refinery project estimated to cost Ksh2 trillion in Lamu. The proposed facility is expected to have a refining capacity of 700,000 barrels of crude oil per day.

The Lamu refinery is expected to be a joint venture involving some East African Community (EAC) countries. Kenya has already committed approximately Ksh64.7 billion toward the planned project in exchange for an ownership stake.

Rwanda and Ethiopia are also expected to invest and acquire stakes in the refinery.

While Uganda had initially indicated plans to participate in the project, the neighbouring country has not yet detailed how much it intends to invest in the Lamu refinery. Notably, Uganda is also developing its own refinery in Hoima, which is expected to have a production capacity of 60,000 barrels per day.

Uganda and Tanzania also plan to undertake a joint refinery project in Tanga.

Can Kenyans Buy the Dangote IPO?

Yes, but not directly through the Nairobi Securities Exchange (NSE). When the IPO was first announced, it was expected that the shares would be listed on the Nigerian Exchange and subsequently cross-listed on several African exchanges, including those in Kenya, Rwanda, Ghana, Egypt and South Africa.

However, due to the relatively short IPO timetable, the offer has been restricted to Nigeria's domestic market.

As a result, Kenyan investors cannot buy the shares directly through the NSE. Instead, interested investors can only access the IPO indirectly through private investment arrangements and selected mobile or web-based investment platforms such as Mystocks.africa.

However, the Capital Markets Authority (CMA) clarified that the Dangote IPO had not been submitted to the regulator for approval. The regulator further urged investors to verify the authenticity of any prospectus they receive and confirm that any intermediary facilitating the investment is properly licensed and regulated.

Meanwhile, Rwanda's Capital Markets Authority has indicated that it has begun discussions aimed at giving Rwandan investors direct access to the offer.

Dividends

Dangote has indicated that if the company declares dividends in the future, investors will receive their returns in US dollars.
